1. *Term Of Appointment:* 

Your appointment is subject to the Company’s Articles of Association and the provisions of the Companies and Allied Matters Act (CAMA) 2020. Your tenure shall commence on the day of resolution for an initial period of 3 years, subject to re-election and the provisions regarding retirement by rotation.

1. *Role And Responsibilities:*

As Chairman, your primary responsibility is to lead the Board, preside and ensure its effectiveness in all aspects of its role. 

*This includes:*

Setting the Board’s Agenda and ensuring adequate time for discussion of all items, Facilitating the effective contribution of all directors, Ensuring clear communication with the Company’s shareholders, 

Overseeing the Company’s strategic direction and corporate governance standards.

1. *Remuneration:*

Your remuneration for this role will be initially 6million Naira per annum, alongside N300,000 sitting allowances or benefits, subject to approval by shareholders at the Annual General Meeting (AGM). However, this deferred payment clause applies that the company and the deputy chairman agreed that the above statement by the company shall be deemed deferred until the company reaches significant milestone of 1billion naira revenue or successfully sell its first 7.2billion ordinary shares in the proposed private placement.

*Non-interest accrual:*

No interest shall accrue on any deferred remuneration unless otherwise agreed in writing by the board and approved by the shareholders.

*Condition Precedent:* Payment of any accrued fees is absolutely contingent upon having sufficient distributable profits or capital reserves as determined by independent audit such as Lekan Popoola and Patners etc.

We ensure at Midland Cosmos Ltd that we are fully covered in the court of law with this specific *Limitation of Liability that :*

The chairman hereby waives any right whatsoever to commence winding up proceedings or litigation against the company for unpaid or deferred remuneration until the specified financial milestones as specified above have been certified as achieved by the company's auditors.
